These Terms of Service ("Terms") govern your access to and use of the AlgoGenics website (algogenics.com), platform, AI agents, analysis tools, reports, and related services (collectively, the "Services") provided by AlgoGenics, Inc. ("we", "us", or "our").
By accessing, registering for, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility & Account
You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Services. You represent that all registration information is accurate and that you will keep it current.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use at security@algogenics.com.
2. Scope of Services
AlgoGenics provides AI-powered bioinformatics analysis tools, including autonomous agents for variant analysis, protein structure prediction, multi-omics integration, and related workflows. The Services are intended solely for research, academic, and non-clinical purposes.
IMPORTANT: Outputs generated by the Services (reports, predictions, visualizations) are computational estimates only. They are not medical advice, diagnostic tools, or substitutes for professional clinical judgment, interpretation, or validation. You assume full responsibility for any use of or reliance on our outputs.
3. User Content & Obligations
You retain ownership of any data, files, or content you upload ("User Content"). By uploading, you grant us a worldwide, non-exclusive, royalty-free license to store, process, analyze, and display User Content solely to provide and improve the Services.
You represent and warrant that:
- You have all necessary rights, consents, and approvals to upload User Content
- User Content does not violate any law, third-party rights, or ethical standards
- For human genomic data, you have obtained informed consent and any required IRB/ethics approval
Prohibited uses include (but are not limited to): attempting to reverse-engineer our models, uploading malicious code, using the Services for clinical diagnosis/treatment without validation, or violating export control laws.
4. Subscriptions & Billing
Free tier: limited to 5 analyses per month. Paid subscriptions (Pro, Enterprise) are billed monthly or annually via Stripe. You authorize recurring charges until canceled.
Cancellations take effect at the end of the current billing period. No refunds except as required by law or within 14 days of initial purchase (case-by-case). Prices and features may change with 30 days' notice.
5. Intellectual Property
We own all rights to the Services, including AI models, algorithms, code, design, and trademarks. You may use generated reports in publications or presentations with proper attribution to Algogenics, provided you do not remove watermarks (free tier) or claim our technology as your own.
You grant us a perpetual, irrevocable, royalty-free license to use anonymized, aggregated usage data and model outputs for improving our Services, training AI models, and research purposes.
6. Limitation of Liability & Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ACCURACY, RELIABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
IN NO EVENT SHALL ALGOGENICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You acknowledge that AI-generated outputs may contain errors, hallucinations, or biases. You agree to independently verify all results before any use, especially in clinical, diagnostic, or therapeutic contexts.
7. Indemnification
You agree to indemnify, defend, and hold harmless Algogenics, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, User Content, or violation of these Terms.
8. Termination
We may suspend or terminate your access at any time for violation of these Terms, suspected fraud, legal requirements, or at our discretion. You may terminate your account at any time via your profile settings.
Upon termination, your right to use the Services ceases immediately. Sections 5, 6, 7, 9, 10, and 11 survive termination.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota.
You waive any right to a jury trial and agree that claims must be brought within one (1) year of the cause of action accruing.
10. Miscellaneous
- These Terms constitute the entire agreement between you and Algogenics.
- We may assign these Terms; you may not without our consent.
- If any provision is held invalid, the remainder remains in effect.
- No waiver of any breach constitutes a waiver of any subsequent breach.
